2 [YEAR] is made between the following parties ( Parties ) BETWEEN (1) [NAME OF EMPLOYER], a company licensed by the Dubai Multi Commodities Centre Authority (the "DMCCA") to operate in the Jumeirah Lakes Towers Free Zone (the Territory )with trade license number [NUMBER] whose registered office is at [ADDRESS](the Employer ); AND (2) [NAME OF EMPLOYEE] a national of [COUNTRY] and holder of [COUNTRY] Passport number [NUMBER] of [ADDRESS] (the Employee ). بين )1( و )2( ]اسم صاحب العمل[ وهو شركة مرخصة من قبل سلطة مركز دبي للسلع المتعددة )"سلطة مركز دبي للسلع المتعددة"( للعمل في المنطقة الحرة ألبراج بحيرات جميرا )"اإلقليم"( ورقم ترخيصها التجاري ]الرقم[ ويقع عنوانها المسجل في ]العنوان[ )ويشار إليها ب "صاحب العمل"( ]اسم الموظف[ وهو مواطن من ]اسم البلد[ ويحمل جواز سفر ]اسم البلد[ رقم ]الرقم[ وعنوانه ]العنوان[ )ويشار إليه ب "الموظف"(.. 1 المادة األولى- المدة 1. Article One - Term 1.1 The Employee shall work for the Employer as [JOB TITLE] at [COMPANY NAME AND ADDRESS] being the Employee s normal place of work in the Territory for a period of [NUMBER] years (such period not exceeding three (3) years) ( Term ) commencing on [DAY] day of [MONTH] [YEAR] until [DAY] day of [MONTH] [YEAR]. This position is/is not (please delete as appropriate) deemed a responsible senior position in the management or supervision of the Company. يعمل الموظف لدى صاحب العمل بصفة ]صفة العمل[ في ]اسم الشركة وعنوانها[ كونها مكان العمل المعتاد للموظف في اإلقليم لمدة ]العدد[ سنة )ال تزيد تلك المدة عن ثالثة )3( سنوات( )"المدة"( والتي تبدأ بتاريخ ]اليوم[ من شهر ]الشهر[ ]السنة[ ولغاية ]اليوم[ من شهر ]الشهر[ ]السنة[. يعتبر هذا المنصب/ ال يعتبر هذا المنصب )يرجى حذف ما هو غير مناسب( منصب أساسي ومسؤول في إدارة الشركة أو اإلشراف عليها The Employee shall be subject to a probationary period of [PERIOD] month(s), which shall not exceed six months from the beginning of employment) ( Probation ). يخضع الموظف لفترة تجربة لمدة ]المدة[ شهرا والتي ال تزيد عن ستة أشهر ابتداء من تاريخ التعيين( )"التجربة"( The Employee shall not, during the period of his/her employment, work outside the Territory or for another person whether an individual or a corporate entity either in the Territory or otherwise, except with prior written approval from the Employer and any concerned authority having jurisdiction over such matters in the place where the Employee intends to work. 2 ال يجوز للموظف خالل مدة تعيينه العمل خارج المركز أو لحساب شخص آخر سواء كان فردا أو كيانا اعتباريا إما في االقليم أو مكان آخر باستثناء قيامه بذلك بعد الحصول على موافقة خطية مسبقة من صاحب العمل وأية سلطة مختصة لها سلطة قضائية على تلك المسائل في المكان الذي ينوي الموظف العمل فيه. 3-1

3 . 2 المادة الثانية- األجر 2. Article Two Remuneration 2.1 The Employee shall be paid a basic salary of AED [SALARY] per month which shall be payable monthly in arrears on or about the [DAY] of each month by [method of pay (cash, cheque, directly into his/her bank account)]. يتقاضى الموظف راتبا أساسيا بقيمة ]الراتب[ درهم كل شهر والذي يكون واجب الدفع شهريا بعد ]اليوم[ من كل شهر أو بتاريخ يقاربه عن طريق ]طريقة الدفع )نقدا بشيك مباشرة لحسابه المصرفي([ The Employer shall provide the Employee with the following additional allowances payable together with the basic salary as set out in Article 2.1 above: يقدم صاحب العمل للموظف البدالت اإلضافية التالية واجبة الدفع مع الراتب األساسي حسبما هو مبين في المادة 1-2 أعاله: بدل السكن: AED Accommodation:... درهم بدل الطعام: AED Food:... درهم بدل المواصالت: AED Transportation:... درهم مستحقات إضافية: AED Additional benefits:... درهم 2.3 The Employee shall be entitled to participate in the Employer s private medical insurance scheme subject to: the terms of the scheme, as amended from time to time; the rules of insurance policy of the relevant insurance provider, as amended from time to time; and the Employee satisfying the requirements of the relevant insurance provider. يحق للموظف المشاركة في خطة التأمين الطبي الخاصة بصاحب العمل مع مراعاة ما يلي: شروط الخطة حسبما يتم تعديلها من وقت آلخر قواعد بوليصة التأمين لشركة التأمين ذات الصلة حسبما يتم تعديلها من وقت آلخر و ايفاء الموظف لمتطلبات شركة التأمين ذات الصلة المادة الثالثة- الساعات واإلجازات 3. Article Three Hours and Leave 3.1 The Employee s working hours are outlined as follows: The Employee s normal working hours shall be eight (8) hours per day or forty eight (48) hours per week, unless otherwise stated in this Contract at Article 11. يتم تحديد ساعات عمل الموظف كما يلي: تكون ساعات عمل الموظف االعتيادية ثمانية )8( ساعات يوميا أو ثمانية وأربعين )48( ساعة أسبوعيا ما لم يتم بيان خالف ذلك في هذا العقد في المادة خالل شهر رمضان يتم تخفيض عدد ساعات عمل During the Holy month of Ramadan the 3

4 Employee s working hours shall be reduced from eight (8) hours per day to six (6) hours per day, unless otherwise stated in this Contract at Article If the Employee s daily working hours exceed five (5) consecutive hours per day, the Employee is entitled to unpaid rest and prayer breaks of not less than one hour in aggregate. الموظف من ثمانية )8( ساعات يوميا إلى ست )6( ساعات يوميا ما لم يتم بيان خالف ذلك في هذا العقد في المادة 11. إذا تجاوزت ساعات عمل الموظف اليومية خمس )5( ساعات متتالية كل يوم يحق للموظف استراحة غير مأجورة وفواصل الصالة بما ال يقل بمجموعه عن ساعة واحدة If the Employee works overtime (which shall not exceed two hours per day) he/she shall be entitled to remuneration as follows: % of his/her basic hourly salary for each additional hour % of his/her basic hourly salary for each additional hour if working overtime between 9.00 pm and 4.00am % of his/her basic hourly salary for each additional hour or a day off in lieu if required to work on Friday/Public Holiday. إذا عمل الموظف عدد ساعات إضافية )والتي ال يجوز أن تتجاوز ساعتين يوميا( يحق له تقاضي أجر مقابل تلك الساعات كما يلي: %125 من راتبه األساسي للساعة عن كل ساعة عمل إضافية. %151 من راتبه األساسي للساعة عن كل ساعة عمل إضافية إذا عمل ساعات إضافية بين الساعة 0:11 مساء و 4:11 صباحا. %151 من راتبه األساسي للساعة عن كل ساعة عمل إضافية أو يوم عطلة بدال من ذلك إذا توجب عليه العمل يوم الجمعة/ عطلة رسمية The provisions of Article 3.2 above shall not apply to an Employee holding a senior position of responsibility in the management or supervision of the Company. ال تنطبق أحكام المادة 2-3 أعاله على الموظف الذي يتولى منصبا أساسيا في مسؤولية إدارة الشركة أو اإلشراف عليها. 3.3 The Employee shall be entitled to National holidays that are announced in the United Arab Emirates for the private sector. The Employee shall be entitled to be paid for such National holidays, unless they fall on a Friday and/or Saturday. يحق للموظف أخذ اإلجازات الوطنية التي يتم اإلعالن عنها للقطاع الخاص في االمارات العربية المتحدة. كما ويحق للموظف تقاضي بدل عن تلك اإلجازات الوطنية إال إذا كانت يوم الجمعة و/أو السبت In the event that circumstances of the work require the Employee to work on public holidays, Article 81 of the U.A.E. Labour Law shall apply. في حال تطلبت ظروف العمل من الموظف العمل في العطل الرسمية تنطبق المادة 81 من قانون العمل في االمارات العربية المتحدة The Employee s annual leave entitlement is as follows: The Employee shall be entitled to two days paid leave per month where he/she has been employed for more than six (6) months and less than one (1) year of continuous service. The annual leave is 4 يكون حق الموظف باإلجازات السنوية مدفوعة األجر كما يلي: يحق للموظف يومين إجازة مدفوعة األجر كل شهر عندما يكون قد مضى على تعيينه أكثر من ستة )6( أشهر وأقل من سنة واحدة من العمل المستمر. اإلجازة السنوية تشمل اإلجازات الوطنية

5 deemed to include the National Holidays After one (1) year of continuous service, the Employee shall be entitled to [NUMBER] days (30 calendar days minimum) paid leave per annum to be accrued pro rata after he/she has completed his/her first year of service. The annual leave is deemed to include the National holidays A special leave not exceeding thirty (30) calendar days and without pay may be granted, not more than once during the Employee s period of employment, for the performance of the Hajj pilgrimage The Employer shall upon termination of the Employee s service pay the Employee an amount in lieu of the annual leave accrued but not taken. بعد مرور سنة واحدة من العمل المستمر يحق للموظف ]العدد[ يوم )31 يوما ميالدي على األقل( كإجازة مدفوعة األجر سنويا والتي تكون مستحقة وفق النسبة بعد إكماله ألول سنة من العمل. اإلجازة السنوية تشمل اإلجازات الوطنية. يجوز منح إجازة خاصة غير مأجورة ال تتجاوز ثالثين )31( يوما ميالديا مرة واحدة كحد أقصى خالل مدة تعيين الموظف ألداء فريضة الحج. يدفع صاحب العمل للموظف عند انتهاء مدة عمله مبلغا بدال عن اإلجازة السنوية المستحقة التي لم يأخذها الموظف The Employee s sickness leave and maternity leave entitlement are as follows: The Employee following a period of continuous service of three (3) months from completion of his/her probationary period shall be entitled to receive remuneration during any period of absence due to incapacity/illness up to an aggregate of ninety (90) days in any twelve (12) month period, computed as follows: يكون حق الموظف باإلجازات المرضية وإجازات األمومة كما يلي: يحق للموظف بعد انتهاء مدة تبلغ ثالثة )3( أشهر متواصلة من العمل من إكمال مدة االختبار الخاصة به استالم أجر خالل أية فترة من الغياب بسبب العجز المؤقت/ المرض والتي تبلغ في مجموعها تسعين )01( يوما في أية مدة من 12 شهر والتي يتم حسابها كما يلي: The first fifteen (15) calendar days with full pay; The next thirty (30) calendar days with half pay; and أول خمسة عشر )15( أيام تقويمية بأجر كامل أيام العمل الثالثين )31( أيام تقويمية بنصف دفعة و الفترة الالحقة دون دفع. pay The subsequent period without A medical condition shall be certified by a duly licensed physician or other appropriately qualified health care specialist after Two (2) days of consecutive absence and a copy of such medical note shall be provided to the Employer. يتم تصديق الوضع الصحي من قبل طبيب مرخص أصوال أو من قبل أخصائي الرعاية الصحية المؤهل بشكل مناسب بعد غياب يومين )2( متواصل ويتم تقديم نسخة من التقرير الطبي المذكور لصاحب العمل A female employee is entitled to maternity leave with full pay for a period of forty-five (45) calendar days including 5 يحق للموظفين من اإلناث أخذ إجازة أمومة مدفوعة األجر بالكامل لمدة خمسة وأربعين )45( أيام تقويمية بما في ذلك الوقت قبل أو بعد الوالدة 3-6-3

6 the time before or after delivery, provided that her continuous period of employment is not less than one year. If she has not completed one years continuous employment, the maternity leave shall be for the same period but on half pay. شريطة أن تكون مدة تعيينها المتواصلة سنة واحدة على األقل. إذا لم تكمل سنة زاحدة من العمل المتواصل تكون إجازة األمومة بنفس الفترة ولكن تكون مدفوعة األجر بنصف القيمة.. 4 المادة الرابعة- التجديد 4. Article Four - Renewal 4.1 At the end of the Term, this Contract will expire, unless: 1-4 في نهاية المدة ينتهي هذا العقد إال إذا: Both parties continue their relationship as per the original terms of the Contract ( Implicit Renewal ). In the event of Implicit Renewal, the Contract will be extended on the same terms and conditions, except that the duration of the Contract will become unlimited ( Unlimited Contract ) Both parties explicitly agree in writing to renew the Contract and execute the renewal thirty (30) days prior to the end of the Term ( Explicit Renewal ). In the event of Explicit Renewal, Parties may agree on the new terms and conditions of the Contract, including its duration, be it for a limited or unlimited term ( Amended Contract ). Under such circumstances, Parties shall document the Amended Contract with the DMCCA accordingly. استمر الطرفان بعالقتهما وفقا لشروط العقد األصلية )"التجديد الضمني"(. في حال التجديد الضمني يتم تمديد العقد بنفس الشروط واألحكام باستثناء أن تصبح مدة العقد غير محدودة )"عقد غير محدود"(. اتفق الطرفان صراحة خطيا على تجديد العقد ويوقعوا التجديد قبل ثالثين )31( يوما من نهاية المدة )"التجديد الصريح"(. في حال التجديد الصريح يجوز للطرفين االتفاق على شروط وأحكام جديدة للعقد بما في ذلك مدته سواء كانت مدة محدودة أو غير محدودة )"العقد المعدل"(. في تلك الظروف يوثق الطرفان العقد المعد ل لدى سلطة مركز دبي للسلع المتعددة وفقا لذلك The Employer undertakes to notify DMCCA of any change to the terms of Employment in relation to the Employee s position, period of employment, basic salary, allowances and/or additional benefits within 7 days of implementing such changes. يتعهد صاحب العمل بتبليغ سلطة مركز دبي للسلع المتعددة عن أي تغيير بشروط التعيين بخصوص منصب الموظف و/أو مدة تعيينه و/أو الراتب األساسي و/أو البدالت و/أو المستحقات اإلضافية خالل 7 أيام من تنفيذ تلك التغييرات Article Five Expiration and Termination 5.1 This Contract will expire at the end of the Term ( Expiration ). المادة الخامسة- انتهاء المدة واالنهاء 1-5 ينتهي هذا العقد بنهاية مدته )"انتهاء المدة"( This Contract may be terminated during or at the end of the Probation, by either Party, without notice and without reason ( Termination During Probation ). 7 entitled to receive end of service benefits. مستحقات نهاية الخدمة. 5.3 This Contract may be terminated by either Party prior to the end of the Term ( Early Termination ), provided that the terminating Party serves the other Party with [NUMBER] days (30 days minimum) written notice ( Early Termination Notice ). The Employee must acknowledge his/her receipt of the termination of this Contract in writing. In the event of Early Termination, Parties respective rights and obligations shall be governed by the U.A.E. Labour Law. يجوز انهاء هذا العقد من قبل أي طرف قبل نهاية المدة )"االنهاء المبكر"( شريطة أن يوجه الطرف المنهي للعقد إشعارا خطيا للطرف اآلخر قبل ]العدد[ يوما )33 يوما على األقل( )"إشعار اإلنهاء المبكر"(. يجب على الموظف إقرار استالمه إلشعار انهاء العقد خطيا. في حال االنهاء المبكر تخضع حقوق والتزامات الطرفين لقانون العمل في االمارات العربية المتحدة If either Party fails to serve Early Termination Notice or reduces such notice period, the terminating Party shall pay the other Party compensation in lieu of notice ( Notice Compensation ). Notice Compensation shall be equal to the Employee s remuneration for the duration of the notice period or reduction of the notice period, which shall be equal to the Employee's remuneration calculated on a pro rata basis for the reduced notice period The Employer can terminate this Contract prior to expiry of the Term or upon expiry of the Term with immediate effect, without notice and without the obligation of the end of service benefits (other than in respect of amounts accrued as basic salary and allowances due at the date of termination) if the Employee commits any of the offences stipulated under Article 120 of the U.A.E. Labour Law including: adopts a false identity or nationality or submits forged documents/certificates; commits an error causing substantial material loss to the Employer; violates any laws or instructions concerning safety of his/her place work or his/her work colleagues; fails to perform his/her basic duties and he/she persists in violating them despite formal investigation and warning of dismissal if the same is repeated; 7 إذا لم يوجه أي طرف إشعار اإلنهاء المبكر أو أرسله قبل مدة أقل من المدة المذكورة يدفع الطرف المنهي للعقد للطرف اآلخر تعويضا بدال عن اإلشعار )"التعويض عن اإلشعار"(. يكون التعويض عن اإلشعار مساويا ألجر الموظف عن مدة فترة اإلشعار أو تخفيض مدة اإلشعار والذي يكون مساويا ألجر الموظف الذي يتم حسابه على أساس تناسبي عن مدة اإلشعار المخفضة. يمكن لصاحب العمل إنهاء هذا العقد قبل انتهاء مدته أو عند انتهاء مدته بتنفيذ فوري دون توجيه إشعار ودون االلتزام بدفع مستحقات نهاية الخدمة )بخالف التي تكون بخصوص المبالغ المستحقة كراتب أساسي وبدالت مستحقة بتاريخ االنهاء( إذا قام الموظف بأية مخالفات منصوص عليها بموجب المادة 121 من قانون العمل في االمارات العربية المتحدة بما في ذلك: إقرار هوية خاطئة أو جنسية خاطئة أو تقديم مستندات/ شهادات مزورة ارتكاب خطأ تسبب في خسارة مادية كبيرة لصاحب العمل انتهاك أية قوانين أو تعليمات بشأن سالمة مكان عمله أو عمل زمالئه عدم أداء واجباته األساسية وإصراره على مخالفتها بالرغم من التحقيقات الرسمية والتحذيرات بفصله إذا قام بتكرار ذلك

8 5.3.7 divulges any confidential information or trade secrets of the Employer; اإلفصاح عن أية معلومات سرية أو أسرار تجارية تخص صاحب العمل is convicted by a Court for offences of fraud or dishonesty; أن يكون مدان من قبل أية محكمة االحتيال أو خيانة األمانة بشأن مخالفات is intoxicated through drink or drugs at work; أن يكون ثمال بسبب الشرب أو المخدرات في العمل assaults his/her employer or any other member of management or staff during the course of his/her work; or absents himself/herself without lawful excuse or the Employer s approval for more than 20 intermittent days or for more than 7 successive days during any one year of his/her service If the Employer terminates this Contract prior to the expiry of the Term for reasons other than those referred to in Article 120 of the U.A.E. Labour Law, Employer becomes liable to pay compensation to the Employee in accordance with Article 115 of UAE Labour Law If the Employee terminates this Contract prior to the expiry of the Term for reasons other than those referred to in Article 5.2 or Article 121 of the UAE Labour Law, Employee will become liable to pay compensation to the Employer in accordance with Article 116 of the UAE Labour Law االعتداء على صاحب العمل او أي عضو إدارة آخر أو عضو من الطاقم خالل مسار عمله أو التغيب عن العمل دون عذر قانوني أو موافقة صاحب العمل ألكثر من 21 يوما متقطع أو ألكثر من 7 أيام متتالية خالل أية سنة من عمله إذا أنهى صاحب العمل هذا العقد قبل انتهاء مدته ألسباب غير التي تمت اإلشارة إليها في المادة 121 من قانون العمل في االمارات العربية المتحدة يصبح صاحب العمل مسؤوال عن دفع تعويض للموظف وفقا للمادة 115 من قانون العمل في االمارات العربية المتحدة إذا أنهى صاحب العمل هذا العقد قبل انتهاء مدته ألسباب غير التي تمت اإلشارة إليها في المادة 2.5 أو المادة )121( من قانون العمل في االمارات العربية المتحدة يصبح الموظف مسؤوال عن دفع تعويض لصاحب العمل وفقا للمادة 116 من قانون العمل في االمارات العربية المتحدة. 5.4 At the Expiration of this Contract, the Employer shall pay the Employee end of service benefits calculated as follows: Where the Employee has completed one year or more of continuous service, twenty one (21) days of basic salary for each year of the first five years of service and thirty (30) days basic salary for each additional year thereafter. Days of absence from work without pay will not be included in computing the period of service The entire total end of service remuneration shall not exceed two (2) year s salary including allowances The end of service remuneration shall be computed on the basis of Employee s last basic salary. Employee s bonuses and commissions are not included in 8 عند انتهاء مدة هذا العقد يدفع صاحب العمل للموظف مستحقات نهاية الخدمة التي يتم حسابها كما يلي: عندما يكمل الموظف سنة واحدة أو أكثر من العمل المتواصل يستلم قيمة واحد وعشرين )21( يوما من الراتب األساسي عن كل سنة من أول خمس سنوات من العمل وقيمة ثالثين )31( يوما من الراتب األساسي عن كل سنة إضافية بعد ذلك. ال يتم تضمن أيام الغياب في حساب مدة العمل. ال تتجاوز كامل مستحقات ]نهاية الخدمة[ راتب سنتين )2( بما في ذلك البدالت. يتم حساب مستحقات نهاية الخدمة على أساس آخر راتب أساسي للموظف. ال تكون عالوات ومكافآت الموظف متضمنة في راتبه األساسي

9 Employee s basic salary The Employer may deduct any amounts due to it from the Employee s end of service benefits. Such deductions shall not include those which are deemed invalid by DMCCA as stated in the DMCCA s Rules and Regulations If the Employee resigns or leaves his/her employment at his/her own initiative before the expiration of the Term he/she shall not be entitled to end of service remuneration unless the period of continuous service exceeds 5 years. يجوز لصاحب العمل اقتطاع أية مبالغ مستحقة له من مستحقات نهاية الخدمة للموظف. ال تشمل تلك االقتطاعات تلك التي تعتبر غير صحيحة من قبل سلطة مركز دبي للسلع المتعددة حسبما هو مبين في قوانين وأنظمة سلطة مركز دبي للسلع المتعددة. إذا استقال الموظف أو ترك عمله بمبادرة شخصية منه قبل انتهاء المدة ال يحق له استالم مستحقات نهاية الخدمة إال إذا تجاوزت مدة العمل المتواصل 5 سنوات At the termination or expiry of this Contract and at the request of the Employee, the Employer shall provide the Employee with an employment certificate, free of charge. The Employer shall also return any original certificates, diplomas or other original documents or possessions belonging to the Employee to him/her without unreasonable delay. عند انهاء او انتهاء مدة هذا العقد وعند طلب الموظف ذلك يقدم صاحب العمل للموظف شهادة عمل مجانا. يعيد صاحب العمل أيضا أية شهادات أصلية أو شهادات جامعية أو غيرها من المستندات األصلية او الممتلكات التي تعود للموظف للموظف دون أي تأخير غير معقول المادة السادسة- تذاكر السفر 6. 10 arranged at his/her own expense. 6.4 In cases where the Contract is to be renewed and the Employee wishes to return to his/her country of origin in order to utilise his/her accrued holiday leave then the Employer shall bear the cost of the Employee s return ticket. 11 9.1 This Contract has been made in triplicate, executed and stamped by each Party. أبرم هذا العقد بثالثة نسخ موقعة ومختومة من قبل كل طرف Each Party shall retain an original copy of this Contract. 2-0 يحتفظ كل طرف بنسخة أصلية من هذا العقد. 9.3 The third original copy shall be retained by the DMCCA or any of its authorised representatives. يتم االحتفاظ بالنسخة األصلية الثالثة لدى سلطة مركز دبي للسلع المتعددة أو أي من ممثليها المفوضين Article Ten Governing Law and Dispute Resolution 10.1 This Contract and any dispute or claim arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with Federal Law to include UAE Federal Law No. (8) of 1980 as applied in the Emirate of Dubai, Dubai Law and DMCC Free Zone Rules & Regulations Any dispute or claim arising out of or in connection to this Contract or breach thereof shall first be settled through good faith negotiation between the Parties. 12 11.2 Due to the nature of the Employer s business pursuant to Article 65 of the U.A.E. Labour Law the Employee s working hours shall be nine (9) hours per day or fifty four (54) hours per week. During the Holy month of Ramadan the working hours shall be reduced from nine (9) hours per day to seven (7) hours per day. (This section is applicable only to those employees who come under Article 65 of the U.A.E.
